1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Conceev Digital, a division of Conceev Medical Technologies (OPC) Private Limited ("Company," "we," "us," or "our"), governing your access to and use of our website at www.conceevdigital.com, our SaaS platform, and all related digital marketing services (collectively, the "Services").

By accessing, registering for, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms, in which case "you" and "your" shall refer to such entity.

2. Description of Services

Conceev Digital provides a comprehensive suite of digital marketing services and SaaS tools, including but not limited to:

• Digital marketing strategy, planning, and execution
• Search engine optimization (SEO) and content marketing
• Social media management and advertising
• Pay-per-click (PPC) campaign management
• Content creation, scheduling, and publishing tools
• Analytics, reporting, and performance dashboards
• Lead generation and CRM integration
• Client portal and project management features

The specific features available to you depend on your subscription plan. We reserve the right to modify, update, or discontinue any aspect of our Services at any time, with reasonable notice to active subscribers.

3. Subscription Plans and Payment

3.1 Plans and Pricing

We offer various subscription plans with different features, usage limits, and pricing tiers. Current pricing is displayed on our Website and may be subject to change. We will provide at least 30 days' advance notice of any price increases to existing subscribers.

3.2 Billing and Payment

Subscription fees are billed in advance on a monthly or annual basis, depending on the plan you select. All payments are processed through our authorized payment gateway. You agree to provide accurate and complete billing information and to keep this information up to date.

3.3 Taxes

All fees are exclusive of applicable taxes, including Goods and Services Tax (GST) under Indian law. You are responsible for paying all taxes associated with your use of the Services, unless otherwise stated on the invoice.

3.4 Late Payments

If payment is not received by the due date, we reserve the right to suspend access to the Services until the outstanding amount is settled. Continued non-payment for more than 30 days may result in account termination.

4. User Accounts and Responsibilities

To access certain features of our Services, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete registration information
• Maintain the security and confidentiality of your login credentials
• Promptly update your account information if it changes
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized access or security breach

You may not share your account credentials with third parties, create multiple accounts to circumvent usage limits, or use another person's account without their permission. We reserve the right to suspend or terminate accounts that violate these requirements.

5. Intellectual Property

5.1 Our Intellectual Property

All content, features, functionality, software, designs, trademarks, logos, and other intellectual property associated with the Services are and shall remain the exclusive property of Conceev Digital and its licensors. Nothing in these Terms grants you any right, title, or interest in our intellectual property except for the limited right to use the Services as expressly permitted herein.

5.2 Your Content

You retain ownership of all content, data, and materials that you upload, submit, or create through the Services ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, process, and display your User Content solely to the extent necessary to provide the Services to you.

5.3 Deliverables

For agency services, ownership of deliverables (such as creative assets, marketing copy, and campaign materials) shall be as specified in the applicable service agreement or statement of work. Unless otherwise agreed in writing, deliverables become the property of the client upon full payment of all associated fees.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Conceev Digital, its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, loss of profits, loss of data, loss of business opportunities, or any other intangible losses arising out of or in connection with:

• Your use or inability to use the Services
• Any unauthorized access to or alteration of your data
• Any interruption or cessation of the Services
• Any bugs, viruses, or errors in the Services
• Any third-party content or conduct

In no event shall our total aggregate liability for all claims arising from or related to the Services exceed the total fees paid by you to us during the twelve (12) months immediately preceding the event giving rise to the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless Conceev Digital, its parent company (Conceev Medical Technologies (OPC) Private Limited), and their respective officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your violation of these Terms
• Your use or misuse of the Services
• Your User Content or any content you provide through the Services
• Your violation of any applicable law, regulation, or third-party right
• Any dispute between you and a third party related to the Services

8. Service Level Agreement

We strive to maintain a high level of availability and performance for our Services. While we use commercially reasonable efforts to ensure uptime, we provide our Services on a best-effort basis and do not guarantee uninterrupted or error-free operation.

• Target Uptime: We aim for 99.5% uptime for our SaaS platform, measured on a monthly basis, excluding scheduled maintenance.
• Scheduled Maintenance: We will endeavor to perform scheduled maintenance during off-peak hours and provide at least 24 hours' advance notice when possible.
• Support Response Times: Support requests will be acknowledged within 24 business hours, with resolution times varying based on the severity and complexity of the issue.

This SLA is provided on a best-effort basis and does not create any enforceable right to service credits, compensation, or remedies beyond those expressly stated in your subscription agreement.

9. Termination

9.1 Termination by You

You may cancel your subscription or close your account at any time by contacting us or through the account settings in our platform. Cancellation will take effect at the end of your current billing period. Please refer to our Refund Policy for information regarding refunds upon cancellation.

9.2 Termination by Us

We may suspend or terminate your access to the Services, without prior notice or liability, if:

• You breach any provision of these Terms
• Your payment is overdue by more than 30 days
• You engage in fraudulent, illegal, or abusive conduct
• Continued provision of the Services becomes commercially impracticable

9.3 Effects of Termination

Upon termination, your right to use the Services will immediately cease. We will retain your data for a period of 30 days following termination, during which you may request an export of your data. After this period, we may delete your data in accordance with our data retention practices.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any legal action or proceeding arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka, India.

11. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms or the Services, the parties agree to first attempt to resolve the matter through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may initiate mediation.

If mediation fails to resolve the dispute within 60 days, the dispute shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator, mutually appointed by the parties, and shall take place in Bengaluru, Karnataka, India. The language of the arbitration shall be English. The arbitrator's decision shall be final and binding on both parties.

Nothing in this section shall prevent either party from seeking injunctive or other equitable relief from a court of competent jurisdiction where necessary to prevent irreparable harm.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page and notify active subscribers via email at least 30 days before the changes take effect.

Your continued use of the Services after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree with the revised Terms, you must discontinue use of the Services before the changes take effect.
